GOL Linhas Aéreas stated today (03/01) in a statement to investors that the CADE (istrative Council for Economic Defense) approved without restrictions on December 30th the acquisition of MAP Transportes Aéreos by GOL.
Pursuant to the applicable legislation, the approval decision will become final within 15 calendar days from its publication, with no appeal by third parties or recall by the CADE Court.
In this way, GOL will be able to complete the R$28 million deal, to be paid in cash and shares to Voe, which acquired MAP in 2019. GOL divided the payment into 100.000 shares GOLL4, at R$28 per share, and R$25 million in cash to be paid in 24 monthly installments.
This Monday (03) a GOLL4 share is worth around R$ 17.
At closing, GOL will also assume up to R$100 million of MAP's financial commitments. As an advantage, GOL has around 22 slots at Congonhas Airport, and establishes its leadership position in operating capacity at the 2nd busiest airport in the country. GOL's growth in Congonhas will be around 10%.

Founded in 2011, MAP is the fifth largest Brazilian airline, with a fleet of seven 70-seat ATR aircraft operating in routes in the Amazon region from Manaus Airport and in the South and Southeast regions from Congonhas, the largest domestic airport in the country.
In a previously issued official statement, Voe announced that it continues to operate flights normally, and will take over MAP's operations in the north of the country. However the slots in Congonhas are with MAP.

The seven MAP planes are not included in the negotiation between Voe and GOL, and will be quickly replaced by Orange's Boeing 737 NG/MAX.
