GOL Linhas Aéreas (B3:GOLL4 and NYSE: GOL), pursuant to the Material Facts published on September 15, 2021 and February 7, 2022, announced today the closing of the transaction involving the expansion of its commercial cooperation with American Airlines.
The agreement comprises an exclusive codeshare between the companies for the next three years and an investment by American in the amount of US$ 200 million in 22,2 million new preferred shares issued by GOL in a capital increase representing a 5,3% interest in the economic rights derived from the Company's shares.
As part of the Transaction, on this date American and GOL's controlling shareholder entered into a shareholders' agreement whereby American retains the right to appoint a member to GOL's board of directors during the period of exclusivity provided for in the Transaction.
Last week, GOL published that it approved a capital increase in the amount of at least R$948.319.969,71 (nine hundred and forty-eight million, three hundred and nineteen thousand, six hundred and sixty-nine reais and seventy-one centavos ) and a maximum of R$ 2.873.696.916,70 (two billion, eight hundred and seventy-three million, six hundred and ninety-six thousand, nine hundred and sixteen reais and seventy cents).
The Company's shareholders will have preemptive rights to subscribe for preferred shares and may subscribe or assign their preemptive rights to third parties.
Codeshare agreement with 34 routes
Through the exclusivity of the new codeshare agreement, the Transaction extends the of the
existing codeshare partnership between GOL and American, increasing travel opportunities for its engers, as well as improving the customer experience and GOL's competitive position on the routes that connect North and South America.
Effective February 2020, the existing codeshare represents the largest airline network in the Americas and allows the Company's Customers to conveniently connect to more than 30 destinations across the United States.
The partnership flights currently operate at GOL's hubs in São Paulo (GRU) and Rio de Janeiro (GIG), integrating 34 Brazilian and international route options, as is the case with Montevideo, Uruguay.
